1. About these terms
These Terms and Conditions apply to your access to and use of the Vibes Digital Media website and to enquiries made through it. “Vibes Digital Media,” “VDM,” “we,” “us,” and “our” refer to Vibes Digital Media. “You” and “your” refer to the person or organization using the website or requesting our services.
A proposal, quotation, statement of work, or other agreement signed or accepted by both parties may set additional terms for a particular project. If it conflicts with these website terms, the project agreement controls for that project.
2. Using this website
You may use this website only for lawful purposes. You must not misuse the site, attempt to gain unauthorized access to its systems or accounts, interfere with its operation, submit malicious code, or use it to send unlawful, misleading, abusive, or infringing material.
You are responsible for the accuracy and lawfulness of information and files you submit through the site. We may restrict access where reasonably necessary to protect the site, its users, or our services.
3. Enquiries, proposals, and services
Submitting an enquiry does not create a client relationship, reserve availability, or require either party to proceed with a project. Service descriptions on this website are general information and may change. Project scope, deliverables, fees, timelines, payment terms, and acceptance criteria should be confirmed in a written project agreement.
Any estimate or proposal is subject to the assumptions and validity period stated in it. Work begins when the parties have agreed on the applicable scope and commercial terms.
4. Client materials and project responsibilities
You must have the rights and permissions needed to provide us with any text, images, recordings, branding, data, or other materials for a project. You grant us permission to use those materials only as reasonably needed to provide the agreed services.
You are responsible for providing accurate information, timely feedback, approvals, access, and other dependencies identified for your project. Delays in these items may affect delivery dates or project scope; any resulting changes should be agreed between the parties.
5. Intellectual property
Unless a written project agreement says otherwise, each party retains ownership of materials and intellectual property it owned or developed independently before the project. VDM retains ownership of its website, brand, templates, tools, processes, and reusable know-how.
Ownership or licensing of project-specific deliverables, including when rights transfer and any third-party or stock assets used, should be set out in the relevant project agreement. Until those terms are agreed, no transfer of ownership in a deliverable is implied by an enquiry, quotation, or draft.
You may not copy, reproduce, or commercially use content from this website without our prior written permission, except where applicable law permits it.
6. Music distribution and copyright services
Music distribution, copyrighting, and rights-management services are provided only to the extent described in a written project agreement. VDM does not acquire ownership of a recording, composition, lyrics, artwork, or other client material merely by providing these services.
Before requesting distribution or rights-management work, you must have authority to act for the relevant rights holders and obtain all permissions needed for the recordings and materials involved. This includes, where applicable, permissions or clearances for performers, featured artists, producers, songwriters, publishers, samples, beats, artwork, and other third-party material. You are responsible for supplying accurate artist, ownership, contributor, release, and payment information and for promptly correcting errors.
Digital stores, streaming services, rights registries, and collecting or licensing organizations set their own eligibility rules, review processes, timelines, reporting, payment, and takedown decisions. VDM cannot guarantee acceptance, a release date, uninterrupted availability, a particular royalty amount, registration, enforcement, or dispute outcome. The project agreement should identify any distribution destinations, fees, revenue handling, reporting, account access, and takedown responsibilities.
Copyright registration, documentation, and rights-management assistance is administrative or production support unless a separate written agreement says otherwise. It is not legal advice or a guarantee that rights will be registered, recognized, licensed, or enforced. Seek advice from a qualified lawyer for legal opinions or disputes.
7. Fees, payment, and changes
Fees, taxes, deposits, payment milestones, expenses, cancellation terms, and any late-payment consequences will be stated in the applicable proposal or project agreement. Additional work or changes outside the agreed scope may require a revised fee or timeline and must be approved before that work proceeds.
8. Third-party services
Projects may depend on hosting providers, social networks, app stores, payment services, software, or other third-party products. Those providers operate under their own terms and policies. Unless specifically agreed in writing, VDM does not control and is not responsible for their availability, changes, security, or decisions.
9. No guarantee of specific results
We will provide agreed services with reasonable care and skill. Business, marketing, audience, search, advertising, revenue, and platform outcomes depend on factors outside our control. Unless a written project agreement expressly guarantees a specific outcome, examples and estimates are illustrative and are not a promise of results.
10. Website availability and information
We aim to keep the website accurate and available, but it may occasionally be changed, interrupted, or unavailable. Website content is provided for general information and is not a substitute for project-specific advice or a signed agreement.
11. Liability
Nothing in these terms excludes or limits liability where doing so is not permitted by applicable law. To the extent permitted by law, VDM is not liable for indirect or consequential loss, loss of profits, revenue, business opportunity, data, or goodwill arising from use of this website or from matters not covered by an applicable project agreement.
Any liability relating to a particular project will be governed by its written agreement and applicable law.
12. Privacy
Information submitted through the website may be used to respond to enquiries and operate our services. Please contact us if you have questions about how information is handled. These terms do not replace any privacy notice or legal rights that may apply.
13. Changes to these terms
We may update these terms from time to time by publishing a revised version on this page and updating its effective date. The version in effect when you use the website applies to that use. Changes to an active project agreement must be agreed by the parties.
14. Governing law and contact
These website terms are governed by the laws of Uganda, subject to any mandatory rules that apply to you. Disputes are subject to the jurisdiction of the competent courts in Uganda, unless the parties have agreed otherwise in writing or applicable law requires another forum.
For questions about these terms or our services, please contact Vibes Digital Media.
